I'm not very far into Torchlight II, but here are the similarities and differences I've noticed so far:
Similarities
1. Same cartoony look.
2. Same kinds of gear, UI, controls.
3. Similar stat system.
Differences
1. Adds outdoor areas.
2. Has more of a story.
3. Adds new class - Engineer - old classes have been retooled.
4. Adds co-op, which is controlled by Runic, so you have to go to their site and create an account; can sync with Steam account/friends but good luck figuring out which password they want -- Runic? Steam? -- also whether you should be using caps or lower-case letters at different times during the setup process.
Ultimately, Torchlight II is still Wild Tangent's Fate with some Diablo 2/3 conventions bolted on.
