The standard core 2 heatsink and PSU fan will be loud enough to distract you during quiet scenes in a movie. If you plan on doing a tivo style video capture, add the noise of the harddisks to that (although a gigabit network should be fast enough to handle dvr). Also, keep in mind that a lot of HTPC cases have annoyingly bright led case lights (for example, Cooler Master) for power, hdd activity. To get past the noise, you can look for either an all in one mini ITX solution, or look for a massive heatsink with heatpipes to implement passive cooling, and spend a little extra on one case fan with a high cfm/low noise rating.
